These Terms of Use ("Terms") govern your access to and use of the Exacc accounting and payroll software services provided by Exaccly Pty Ltd ABN 86 643 294 937 ("Exacc", "we", "us", or "our").

1. Acceptance of Terms

By accessing or using our services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use our services.

2. Description of Service

Exacc provides cloud-based accounting and payroll software designed for Australian businesses. Our services include:

  • Bank feed integration and automation
  • BAS and financial reporting
  • STP-compliant payroll processing
  • Invoicing and billing management
  • Employee self-service portals

3. User Accounts

To use our services, you must:

  • Create an account with accurate information
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized access
  • Be responsible for all activities under your account

4. Acceptable Use

You agree not to:

  • Use the service for any illegal purpose
  • Violate any laws in your jurisdiction
  • Infringe on intellectual property rights
  • Transmit viruses or malicious code
  • Attempt to gain unauthorized access to our systems

5. Payment Terms

Subscription fees are billed monthly or annually as selected. You authorize us to charge your payment method for all fees. We reserve the right to change our pricing with 30 days' notice.

6. Data and Privacy

Your use of our services is also governed by our Privacy Policy. We store all data in Australia and comply with Australian privacy laws.

7. Intellectual Property

All rights, title, and interest in the Exacc service and its content remain our property. You are granted a limited, non-exclusive license to use the service.

8. Limitation of Liability

To the maximum extent permitted by law, Exacc shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of the service.

9. Termination

We may terminate or suspend your account at any time for violation of these Terms. Upon termination, your right to use the service will immediately cease.

10. Governing Law

These Terms are governed by the laws of Australia. Any disputes shall be resolved in the courts of Australia.
